The terms that apply when you use our website, our client portal, or any Opsus360 service.
Opsus360 (“we”, “us”, “our”) is the trading name of two related Irish companies: The Start Up Shop Limited (company number 531282) and Office Pal Limited (company number 586700), both registered at S31 The Pottery, Bakers Point, Pottery Road, Dún Laoghaire, Dublin, A96 EV18, Ireland.
Opsus360 is authorised to carry on business as a Trust or Company Service Provider (TCSP) under the Criminal Justice (Money Laundering and Terrorist Financing) Act 2010, licence number APP/1292/2021, and is supervised for anti-money-laundering purposes by the Anti-Money Laundering Compliance Unit of the Department of Justice, Home Affairs and Migration.
By creating an account, placing an order, or instructing us to provide any service, you agree to be bound by these Terms of Service and by our Privacy Policy, which is incorporated by reference. If you are acting on behalf of a company or other organisation, you confirm you have authority to bind that organisation.
We provide company formation, company secretarial, compliance, accounting, tax, payroll and related back-office services for Irish companies, delivered through our website, our client Portal, and our team. Full descriptions and current pricing for each service are set out on our website and form part of these Terms for the specific order placed.
Some services are one-off (for example, company formation); others are ongoing subscriptions (for example, registered office, company secretary, bookkeeping) that renew automatically unless cancelled in accordance with Clause 7.
You must be at least 18 years old and have legal capacity to enter a binding contract to use our Services.
As a licensed TCSP, we are legally required to carry out Client Due Diligence before providing certain services, including verifying your identity and, where applicable, the identity of directors, shareholders and beneficial owners of any company we act for. This may require photo identification, proof of address, source-of-funds information, and other documents.
We may decline to act, delay a service, or terminate an existing relationship, without liability, where due diligence cannot be completed to our satisfaction, where required by law, or where we form a reasonable suspicion of money laundering, terrorist financing, or other unlawful activity.
Prices shown on our website are in euro and exclude VAT unless stated otherwise. VAT is added at the applicable rate at checkout.
Payment is processed through our third-party payment providers: Stripe, PayPal, SEPA Direct Debit, and Revolut Business. We do not store your full card or bank account details ourselves; this is handled by the relevant provider under its own terms.
For subscription services, you authorise us to charge your chosen payment method automatically on each renewal date until you cancel in accordance with Clause 7.
Because many of our Services involve submitting information to a Registrar on your behalf, the following applies unless a specific service page states otherwise:
Consumers ordering in a personal capacity may have a statutory right to cancel certain services within 14 days under the European Union (Consumer Information, Cancellation and Other Rights) Regulations 2013. Where you ask us to begin work during that period, you acknowledge that you lose this right once the service has been fully performed, and may owe a proportionate amount for work already carried out if you cancel partway through.
Subscription services can be cancelled at any time, with effect from the next renewal date, through the Portal or by emailing info@opsus360.com. Cancelling does not entitle you to a refund of fees already paid for the current period.
We use reasonable efforts to prepare and submit filings promptly, but we do not control processing times at the CRO, Revenue, the courts, or any other Registrar, and cannot guarantee any particular turnaround time. Timeframes given on our website (for example, “five working days”) are estimates only and not a contractual commitment unless confirmed in writing for a specific order.
Where we give you access to the Portal, you are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately if you suspect unauthorised access.
You agree not to use the Portal to upload unlawful content, attempt to access another client's data, or interfere with its operation. We aim to keep the Portal available at all times but do not guarantee uninterrupted access.
You are responsible for the accuracy and completeness of all information and documents you give us, and for responding to our requests within a reasonable time. Filing deadlines are often fixed by law and cannot be extended because information was provided late. You must tell us promptly of any change relevant to a service we provide (for example, a change of director, address, or beneficial owner).
Some services involve statutory fees payable to the CRO, ROS, the courts, or other bodies. Unless stated otherwise, these fees are included in the price we quote and are paid on your behalf; they are not separately refundable once paid, in line with Clause 7.
All content on our website and Portal is owned by us or our licensors and may not be copied or reused without our written permission. Documents we prepare specifically for you are yours to use for their intended purpose.
We keep your information confidential except where disclosure is required by law, requested by a Registrar or regulator, or necessary to provide the Service. Full details are set out in our Privacy Policy, which forms part of these Terms.
To the maximum extent permitted by law, our total liability arising out of or in connection with a Service is limited to the fees you paid us for that specific Service in the 12 months before the claim arose. We are not liable for indirect or consequential loss, including loss of profits or business, except in respect of death or personal injury caused by our negligence, or any liability that cannot be excluded under Irish law.
You agree to indemnify us against any claim, loss, or expense arising from inaccurate or misleading information you provide, or from your breach of these Terms.
If you are unhappy with our service, contact us at info@opsus360.com in the first instance. We will acknowledge your complaint and aim to resolve it promptly and fairly.
We may suspend or terminate any Service, with reasonable notice where practical, if you breach these Terms, if payment is not received, or if required by law or a regulator. You may terminate an ongoing Service in accordance with Clause 7. Termination does not affect obligations that arose before termination, including payment for work already carried out.
We are not liable for failure or delay in performing our obligations caused by events outside our reasonable control, including system outages at a Registrar or payment provider, or industrial action.
These Terms are governed by the laws of Ireland. Any dispute is subject to the exclusive jurisdiction of the courts of Ireland.
We may update these Terms from time to time. The version in force at the time you place an order applies to that order. The current version is always available on this page, with its last-updated date shown above.
