Close: Closing a company properly

Closing down is a process, not an event. Done correctly it ends cleanly, with the records kept and no liability left hanging over the directors.

What matters at this stage

The rules that catch people out.

The requirements most often missed at the Exit stage — and the ones that cost the most to put right later.

01
Voluntary strike-off has a hard thresholdAssets must not exceed €150 and liabilities must not exceed €150. If the company holds more than that, strike-off isn’t available and a liquidation is required instead.
02
Every annual return must be filed firstYou cannot apply for voluntary strike-off with returns outstanding — including any late filing penalties. This is where recovery work often has to come before closure.
03
Revenue and the newspaperA letter of no objection from Revenue is required and is valid for three months. A notice must also be placed in a national daily newspaper, and the Form H15 filed within 30 days of publication.
04
Solvent wind-down: MVLWhere the company holds assets but can pay its debts, a members’ voluntary liquidation distributes them to shareholders. It uses the Summary Approval Procedure with a declaration of solvency.
05
Insolvent closure: CVLIf the company cannot pay its debts, a creditors’ voluntary liquidation is the correct route, and directors’ conduct is reported on. Getting this wrong carries personal consequences.
06
Records outlive the companyStatutory records must be retained after dissolution and are sometimes needed years later. We hold them so former directors can still get at them.
Common questions

Exit — your questions

The questions clients ask us most often about this stage. If yours isn’t here, just ask.

What is the difference between strike-off and liquidation?

Strike-off is for dormant or finished companies with effectively nothing left — assets and liabilities each under €150. Liquidation is required where there are real assets to distribute or debts that cannot be paid.

How long does a voluntary strike-off take?

Typically several months. After the H15 is filed, notice is published in the CRO Gazette and there is a 90-day objection period before dissolution.

Can a strike-off be stopped once started?

Yes. Objections are lodged on Form H16 and a company can withdraw its own application on Form H17, both within the 90-day window.

What happens to money still in the company?

On dissolution, remaining assets vest in the Minister for Public Expenditure. Clear the bank account before applying, or use a liquidation to distribute it properly.
