Throughout these Terms, “we”, “us”, and “our” refer to The Startup Shop Limited and Officepal Limited trading as Opsus360 and associated service portals.
“You” refers to the client, director, authorised representative, or user of our services.
1. Scope of Services
The Startup Shop Limited and Officepal Limited provide a range of administrative, compliance and company secretarial services ,including, but not limited to:
1.1 CRO & Compliance Services
First Annual Return (B1)
Subsequent Annual Returns
Uploading/replacing financial statements
Amending or extending Annual Return Dates
Director, shareholder, and registered office changes
RBO/Beneficial Ownership updates
Share transfers
Company restoration support
Dormant account updates
Shelf companies
Irish and international company formations
Document retrieval
Business name registration
1.2 Tax & Accounting Administrative Services
Tax registrations & deregistrations
Submission of tax returns (information supplied by client)
PAYE refunds
Bookkeeping services (when contracted)
1.3 Registered Address & Virtual Office Services
Registered office (Ireland)
Virtual office services
Nominee services
Umbrella company administrative support
1.4 Service Delivery Platforms
Services are accessed across multiple dedicated domains and funnels operated by The Startup Shop Limited and Officepal Limited (see Section 2).
All orders, filings, documents and workflows are centralised in the Opsus360 Backoffice:

1.5 Exclusions
Unless specifically purchased, our services do not include:
Accounting preparation (we upload financial statements only when provided)
Legal advice
Tax advisory
PPS/IPN number applications (unless part of a purchased service)
Verification of client-submitted accounting documents
2. Connected Service Domains
The following domains are operated by The Startup Shop Limited and Officepal Limited and fall under these Terms & Conditions:

All purchases, document uploads, approval stages, CRO/RBO filings, workflows and communication are carried out through this Backoffice.
3. Responsibility & Accuracy of Information
3.1 Reliance on Client-Provided Data
We act strictly based on:
the data visible on CORE.CRO.IE
documents and information supplied by directors or authorised persons
We do not independently verify data unless contracted.
3.2 Legal Responsibility of Directors
Directors remain legally responsible for:
approving all CRO filings
ensuring accuracy of supplied information
reviewing and signing signature pages before submission
3.3 Delays & Liability
The Startup Shop Limited and Officepal Limited accepts no liability for:
penalties
strike-off
audit loss
prosecution
late filings
arising from:
client delays
missing signatures
incorrect or incomplete information
late approval of documents
failure to return documents before statutory deadlines
If we can demonstrate that documents were issued in sufficient time, responsibility for missed deadlines remains with the client.
4. Payments & Fees
All services must be paid in full before work begins
Ongoing clients may receive 7–14 day credit at our discretion
Instalment payments are not available
No interest is charged
Prices may change without notice
Payments are processed through the Backoffice using:
Stripe
PayPal
CoinPayments
Bank transfer
5. Refund Policy
Refund eligibility is based on the stage of work:

Once documentation has been prepared, submitted, uploaded, or processing has begun, refunds are not available.
6. Client Responsibilities
Clients agree to:
Provide complete and accurate details
Return signed documents promptly
Supply financial statements where B1 filings require them
Maintain accurate company records
Keep Backoffice login details secure
Any penalties caused by delays, incorrect information, or missing documents are solely the responsibility of the client.
7. Limitation of Liability
To the fullest extent permitted by Irish law:
The Startup Shop Limited and Officepal Limited is not liable for financial loss, penalties, audit loss, strike-off, operational damages, or legal consequences arising from delays or inaccurate client-provided information
We provide administrative services only unless specific advisory services are purchased
Our total liability shall never exceed the amount paid for the service in question
8. Governing Law
These Terms & Conditions are governed by Irish law.
Any disputes shall be resolved exclusively in the courts of the Republic of Ireland.
9. Updates to These Terms
We may update these Terms periodically.
The latest version will always be available at opsus360.com and/or the Backoffice.
